1. Agreement to these terms

These Terms of Service (the “Terms”) form a binding agreement between you and People Partner Powered Corporation (operating as Perxon) regarding your use of the Perxon website, accounts, profiles, services marketplace, booking requests, and related features (collectively, the “Service”).

By creating an account, publishing a profile or service, submitting a recommendation or review, requesting a booking, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and to the Privacy Statement. If you do not agree, do not use the Service.

2. What Perxon is

Perxon is a free marketplace for personal services. Each person lists services they provide themselves, collects verified recommendations and reviews, and receives booking requests from customers. Perxon provides the venue — profiles, storefronts, discovery, share links, and booking coordination — but the services themselves are performed and fulfilled off-platform by independent individuals.

Perxon is not a party to any service contract between a customer and a provider. Perxon does not set prices, dictate schedules, supervise work, or guarantee the quality, safety, legality, or completion of any service. Perxon does not currently process payments: bookings are requests that providers accept or decline, and any payment or service terms are agreed directly between customer and provider outside the Service. If payment processing is introduced in the future, additional terms and any platform fees will be disclosed before they apply to you.

3. Eligibility and your account

You must be the age of majority in your province or territory of residence (18 or 19 depending on the province) to create an account or offer services. The Service is not offered in Quebec: by registering, you represent that you do not reside in Quebec and will not use the Service primarily from Quebec. Accounts found to be based in Quebec may be suspended or terminated.

You may maintain one account per person. You agree to provide accurate registration information, to verify your email address, and to keep your sign-in credentials confidential. You are responsible for all activity under your account. If you believe your account has been compromised, change your password immediately and contact us.

4. Verification

Perxon verifies accounts by email confirmation or by sign-in through a supported OAuth provider (currently Google and Apple, where enabled). A verified account is required to recommend a person, leave service feedback, or request a booking.

Verification confirms control of an email address or OAuth identity — it is not a background check, identity document check, or endorsement. Perxon does not run criminal or credential background checks on users. Exercise your own judgment when choosing providers or customers, just as you would anywhere else.

5. Your profile and services

Profiles are 100% owner-controlled. You choose whether your profile is public (visible to everyone, including search engines), private (visible only to you), or semi-private (visible to people holding a share link you issued). You control your display name, bio, contact details, address exposure, service area, skills, and availability schedule.

Service listings must describe services you personally provide, with accurate prices, durations, and delivery modes (on-site or remote). Prices shown to customers are snapshotted at the time a booking is requested, so later edits to a listing do not rewrite history. You may activate or deactivate listings at any time; inactive services are unlisted.

You are responsible for the accuracy and lawfulness of everything you publish, including that you hold any licences, permits, or qualifications your jurisdiction requires for the services you offer. Do not publish anyone else's personal information without their consent.

6. Recommendations and reviews

Trust on Perxon comes from verified, first-hand accounts — not anonymous stars. Recommendations and service reviews may only be submitted by verified account holders, are limited to one per author per profile or service, and self-recommendations are prohibited. New submissions start hidden: the profile or service owner reviews them before anything goes public, and owners may publish, keep hidden, or delete entries on their own pages.

Any recommendation or review you submit must be honest, based on your own genuine experience, and must not be incentivized, coerced, or exchanged for compensation beyond the service itself. Perxon has no obligation to pre-screen content, but may at its sole discretion and without prior notice remove or hide any content, or restrict any account, where it believes these Terms may have been violated or action is needed to protect users, the Service, or the integrity of ratings. Such decisions are final, and Perxon is not liable for removing, failing to remove, or failing to detect any content.

7. Bookings

Customers propose a time slot and providers moderate the request much like feedback: requested bookings may be accepted, declined, completed, or cancelled. Submitting a request does not guarantee the slot, and acceptance is at the provider's discretion subject to their schedule, blackout dates, and notice requirements.

Treat bookings as real commitments: show up on time, communicate promptly about changes, and cancel with as much notice as you can. Because no payment is processed through the Service today, deposits, cancellations, refunds, and liability for the underlying service are matters strictly between customer and provider.

8. Share links, grants, and invites

You may issue one-time, expiring, or revocable share links for semi-private profiles and services, and invite links that attribute new signups to you. Only token hashes are stored; the raw token is shown once at creation.

Share links only with their intended recipients: anyone holding a valid link can view the shared page. You may revoke a link at any time from your dashboard, which immediately disables further access through it. Abusing invites or grants for spam or unsolicited outreach is prohibited. You may only send invites or review requests to people who have consented to receive them or with whom you have a qualifying existing relationship under Canada's anti-spam legislation (CASL) — you are solely responsible for the compliance of messages you initiate.

9. Acceptable use

You agree not to misuse the Service. Without limiting anything else in these Terms, you must not:

  • Break the law, advertise unlawful services, or facilitate wrongdoing.
  • Impersonate any person, misrepresent your identity, qualifications, or affiliation.
  • Submit fake, misleading, or incentivized recommendations or reviews, or manipulate ratings through multiple accounts, self-dealing, or coordination.
  • Publish harassing, hateful, defamatory, obscene, or discriminatory content.
  • Send spam or unsolicited commercial messages through invites, bookings, or reviews, including to recipients who have not consented as Canada's anti-spam legislation (CASL) requires.
  • Scrape, harvest, or bulk-collect user data; probe, disrupt, or circumvent the Service's access controls, rate limits, or security measures.
  • Upload malware or interfere with other users' enjoyment of the Service.
  • Offer services in regulated professions without the licences your jurisdiction requires.

10. Your content and Perxon's licence

You retain ownership of the content you publish — your profile text, service descriptions, photos, recommendations, and reviews. By publishing content on the Service, you grant Perxon a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, and distribute that content as reasonably necessary to operate the Service, including public profiles, storefronts, discovery results, share-link pages, rating badges and booking embeds, QR-code artifacts, and sitemaps.

This licence ends when you delete the content or your account, except for copies retained in backups that roll off in the ordinary course, and content others lawfully reshared outside the Service while it was public. Owner-moderation (hiding or deleting recommendations and reviews on your pages) takes effect promptly on the live Service.

11. No employment or agency relationship

Providers on Perxon are independent individuals, not employees, agents, or contractors of People Partner Powered Corporation, and the company is not an employer, staffing agency, or contracting party. Nothing in these Terms creates employment, partnership, or agency between you and People Partner Powered Corporation or between customers and providers.

12. Release of marketplace disputes

Any dealing between a customer and a provider — including service quality, scheduling, cancellations, deposits, refunds, injury, or damage arising from services arranged through the Service — is strictly between those parties. To the maximum extent permitted by applicable law, you release People Partner Powered Corporation and its directors, officers, employees, and agents from any claims, demands, and damages arising out of or connected with such dealings or with the conduct, content, or services of any other user.

13. Indemnity

You agree to indemnify, defend, and hold harmless People Partner Powered Corporation and its directors, officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, and reasonable legal costs arising out of or related to your content, listings, services, bookings, messages, or use of the Service, or your violation of these Terms or of any law or third-party right. Perxon may assume exclusive control of the defence of any matter subject to indemnification, at your expense, and you will cooperate as reasonably requested.

14. Availability, changes, and support

The Service is provided free of charge for reputation features and is offered on an “as is” and “as available” basis without service-level commitments. Perxon may add, modify, or discontinue features, and may perform maintenance that temporarily interrupts availability. Where reasonably practicable, material changes will be announced in advance.

15. Disclaimers

To the maximum extent permitted by applicable law, People Partner Powered Corporation and its directors, officers, employees, agents, and service providers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Perxon does not warrant that profiles, recommendations, reviews, availability data, or search results are accurate, complete, or current; that the Service will be uninterrupted or error-free; or that any particular booking outcome or business result will follow from using the Service.

16. Limitation of liability

To the maximum extent permitted by applicable law, People Partner Powered Corporation and its directors, officers, employees, and agents will not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the Service or any services arranged through it — even if advised of the possibility of such damages. The company's total liability for any claim arising out of or relating to the Service is limited to the greater of $100 CAD or the amounts you paid to us (if any) in the 12 months before the claim arose; the Service is currently free, so in most cases this cap is $100 CAD.

Nothing in these Terms limits any right or remedy you hold under applicable consumer protection or privacy legislation that cannot be limited or waived by contract.

17. Suspension and termination

You may stop using the Service at any time and may delete your content and request account deletion as described in the Privacy Statement. Perxon may at its sole discretion, with or without prior notice, suspend or terminate accounts, hide or remove content, or restrict features where it believes these Terms have been violated, the law requires it, or it is needed to protect users or the integrity of the Service. Perxon is not liable for exercising, or declining to exercise, these rights.

Sections that by their nature should survive — including content licences for residual copies, disclaimers, limitation of liability, and governing law — survive suspension or termination.

18. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. Subject to any mandatory consumer rights that cannot be contracted out of, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts of Ontario, and you consent to their jurisdiction.

Before pursuing formal proceedings, you agree to contact us so we can try to resolve the matter informally — most issues are fixed fastest that way.

19. Changes to these Terms

Perxon may update these Terms from time to time, for example to reflect new features (such as payments), legal requirements, or feedback. The current version will always be posted at /terms with its effective date. Material changes will be highlighted for at least 30 days before they take effect where reasonably practicable. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

20. Copyright complaints

If you believe content on the Service infringes your copyright, send a written notice to privacy@perxon.com identifying the copyrighted work, the allegedly infringing material (including its URL or a description sufficient to locate it), and your name and address, as required for a notice of claimed infringement under Canada's Copyright Act. Perxon forwards qualifying notices to the person who posted the material (notice-and-notice) and may remove or disable material, or restrict repeat infringers, at its sole discretion. Do not submit false or bad-faith claims — misrepresentation carries legal consequences.

21. General

These Terms, together with the Privacy Statement, are the entire agreement between you and People Partner Powered Corporation regarding the Service and supersede prior understandings on that subject. If any provision is held unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue in full force. Failure to enforce any provision is not a waiver of the right to do so later.

You may not assign your account or any rights under these Terms without our prior written consent. People Partner Powered Corporation may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, with notice to users. Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, power or network failures, labour disputes, or government actions.

22. Contact

For questions about these Terms, to report a violation, or to exercise privacy rights, contact us at privacy@perxon.com. We aim to respond within 30 days.
